1. Our Services

These Terms and Conditions ("Terms") govern your use of the Modak online store (the "Site") and the products and services we offer through it (together, the "Services"), operated by MMG Special Foods ("we", "us", "our"). By accessing or using the Services you agree to these Terms. If you do not agree, please do not use the Services.

The Services are not intended for distribution to or use by any person in any jurisdiction where such use would be contrary to law. Anyone who accesses the Services from another location does so on their own initiative and is responsible for compliance with local laws.

2. Intellectual Property Rights

We own or are licensed to use all intellectual property in the Services, including source code, databases, designs, text, photographs and graphics (the "Content"), as well as the trademarks, service marks and logos (the "Marks"). The Content and Marks are protected by copyright and trademark laws.

The Content and Marks are provided "AS IS" for your personal, non-commercial use only. You may not copy, reproduce, republish, sell or otherwise exploit any part of the Services without our prior written permission.

3. User Representations

By using the Services, you represent and warrant that:

  • all registration information you submit is true, accurate, current and complete, and you will keep it updated;
  • you have the legal capacity to enter into these Terms;
  • you are at least 18 years of age, or are using the Services under the supervision and with the consent of a parent or legal guardian;
  • you will not access the Services through automated or non-human means, such as bots or scripts;
  • you will not use the Services for any illegal or unauthorised purpose; and
  • your use of the Services will not violate any applicable law or regulation.

4. User Registration

You may need to register an account to place orders. You are responsible for keeping your password confidential and for all activity that occurs under your account. We may remove, reclaim or change a username we consider inappropriate or objectionable.

If you provide information that is untrue, inaccurate or incomplete, we may suspend or terminate your account.

5. Products

We make every effort to display the colours, ingredients, specifications and details of our products accurately. However, we do not guarantee that they are accurate, complete or free from error, and your device may not reflect actual colours accurately.

All products are subject to availability and we cannot guarantee that items will be in stock. We may discontinue any product at any time for any reason. Prices are subject to change.

6. Purchases and Payment

Payments are processed securely by our payment partner, Razorpay. We accept the payment methods offered at checkout, which may include UPI, credit cards, debit cards, net banking and wallets. All payments are made in Indian Rupees (INR).

You agree to provide current, complete and accurate purchase and account information, and you authorise us to charge your chosen payment method for the prices in effect when you place your order. Applicable taxes are included or added as required by law.

We may correct pricing errors even after payment has been requested or received. We may refuse any order, and may limit or cancel quantities purchased per person, per household or per order, including orders that appear to be placed by dealers, resellers or distributors.

7. Shipping, Returns and Cancellations

8. Prohibited Activities

You may not use the Services for any purpose other than that for which we make them available. You agree not to:

  • systematically retrieve or scrape data or content from the Services without our written permission;
  • trick, defraud or mislead us or other users, including attempting to obtain account passwords;
  • circumvent, disable or interfere with security-related features of the Services;
  • harass, abuse or harm another person, or disparage us or the Services;
  • upload or transmit viruses, malware, spam or any material that interferes with the Services;
  • use bots, scripts or other automated systems to access the Services;
  • decompile, disassemble or reverse engineer any software that forms part of the Services;
  • use a buying agent or purchasing agent to make purchases on the Services;
  • use the Services to advertise or sell goods and services, or in any effort to compete with us; or
  • sell or otherwise transfer your account.

9. User Contributions and Feedback

The Services do not currently allow users to publish content. If you send us feedback, suggestions or other information about the Services, you agree that we may use and share it for any lawful purpose without compensation to you. You remain responsible for anything you submit and confirm that it does not infringe the rights of any third party and is not false, misleading, unlawful, harassing or defamatory.

10. Services Management

We may, but are not obliged to, monitor the Services for violations of these Terms; take appropriate legal action against anyone who violates the law or these Terms, including reporting them to law enforcement; and otherwise manage the Services to protect our rights and property and to keep the Services working properly.

11. Term and Termination

These Terms remain in effect while you use the Services. We may, at our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason, including breach of these Terms or of any applicable law. We may terminate your account and delete any information associated with it.

If we terminate your account, you may not register a new account under your name, a false name or the name of any third party. We reserve the right to take civil, criminal and injunctive action.

12. Modifications and Interruptions

We may change, modify or remove the contents of the Services at any time without notice. We cannot guarantee that the Services will be available at all times; we may experience hardware, software or other problems, or need to carry out maintenance, resulting in interruptions or errors. We are not liable for any loss or inconvenience caused by your inability to access or use the Services during any downtime.

13. Governing Law

These Terms are governed by the laws of India. Subject to the Dispute Resolution section below, the courts at Culinary City, India have exclusive jurisdiction over any dispute arising from these Terms or the Services.

14. Dispute Resolution

To resolve any dispute quickly and at low cost, you and we agree to first attempt to negotiate it informally for at least 15 days after one party gives the other written notice of the dispute. If the dispute cannot be resolved informally, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated at Culinary City, India, and conducted in English.

15. Corrections

The Services may contain typographical errors, inaccuracies or omissions, including in descriptions, pricing and availability. We may correct any errors and change or update information at any time without prior notice.

16. Disclaimer

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, and you use them at your own risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We are not responsible for errors in content, unauthorised access to our servers, interruption of the Services, or any bugs or malware transmitted by a third party.

17. Limitation of Liability

To the fullest extent permitted by law, neither we nor our directors, employees or agents will be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special or punitive damages, including lost profit, lost revenue or loss of data, arising from your use of the Services, even if we have been advised of the possibility of such damages.

18. Indemnification

You agree to defend, indemnify and hold us harmless, together with our affiliates, officers, agents and employees, from any loss, damage, liability, claim or demand, including reasonable legal fees, made by any third party arising from your use of the Services, your breach of these Terms, your breach of your representations and warranties, or your violation of the rights of a third party.

19. User Data

We maintain certain data that you transmit to the Services to manage their performance and process your orders. Although we perform regular backups, you are responsible for data you transmit or that relates to activity you have undertaken using the Services. How we handle personal information is described in our Privacy Policy.

20. Electronic Communications, Transactions and Signatures

Visiting the Services, sending us emails and completing online forms are electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures and other communications we provide to you electronically, by email and on the Services, satisfy any legal requirement that such communication be in writing.

21. Miscellaneous

These Terms and any policies or operating rules posted by us on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right shall not operate as a waiver of it. We may assign any of our rights and obligations at any time. We are not responsible for any delay or failure to perform caused by events beyond our reasonable control. If any provision of these Terms is found to be unlawful, void or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions. No joint venture, partnership, employment or agency relationship is created between you and us by these Terms.
